Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Cyber-Raksha ("Company," "we," "our," or "us") regarding your use of our cybersecurity services, website, and related offerings. By engaging our services or accessing our website, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Services Description

Cyber-Raksha provides comprehensive cybersecurity services including but not limited to:

  • Managed Security Operations Center (SOC): 24/7 monitoring, threat detection, and incident response
  • Security Audits & Consultancy: Compliance assessments, vulnerability testing, and strategic guidance
  • Solution Integration: Implementation and configuration of security technologies
  • Physical Security: Access control, surveillance, and facility protection systems
  • Security Training: Awareness programs, certification courses, and educational services

Specific service details, deliverables, and timelines are outlined in individual service agreements or statements of work.

Client Responsibilities

To ensure effective service delivery, clients agree to:

  • Provide accurate and complete information about their IT infrastructure and security requirements
  • Grant necessary access to systems, networks, and facilities as required for service delivery
  • Maintain current contact information and designate authorized representatives
  • Comply with all applicable laws, regulations, and industry standards
  • Implement recommended security measures and follow best practices
  • Report security incidents and suspicious activities promptly
  • Maintain confidentiality of sensitive security information and procedures
  • Pay all fees and charges according to agreed payment terms

Service Limitations and Disclaimers

While we strive to provide the highest quality cybersecurity services, clients acknowledge:

  • No security system can guarantee 100% protection against all threats
  • Cybersecurity is an ongoing process requiring continuous monitoring and updates
  • Service effectiveness depends on client cooperation and implementation of recommendations
  • We cannot control or guarantee the security of third-party systems or services
  • Emergency response times may vary based on threat severity and circumstances
  • Some services may require temporary system downtime or performance impacts

Confidentiality and Data Protection

Both parties acknowledge the sensitive nature of cybersecurity information:

  • All client data and security information will be treated as strictly confidential
  • We implement industry-standard security measures to protect client information
  • Access to client systems and data is limited to authorized personnel only
  • Confidentiality obligations survive termination of the service agreement
  • We may use anonymized data for research and service improvement purposes
  • Clients retain ownership of their data and intellectual property

Payment Terms

  • Fees are specified in individual service agreements or statements of work
  • Payment terms are typically net 30 days from invoice date unless otherwise agreed
  • Late payments may incur interest charges at 1.5% per month or maximum allowed by law
  • Services may be suspended for accounts more than 60 days past due
  • All fees are non-refundable except as specifically provided in service agreements
  • Clients are responsible for all taxes, duties, and government fees
  • Price changes require 30 days written notice

Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability for any claim shall not exceed the fees paid for services in the 12 months preceding the claim
  • We shall not be liable for indirect, incidental, special, consequential, or punitive damages
  • We are not liable for damages caused by client's failure to implement recommendations
  • Force majeure events (natural disasters, cyber attacks, government actions) excuse performance delays
  • Clients must notify us of any claims within 30 days of discovery
  • These limitations apply regardless of the theory of liability

Termination

Either party may terminate services under the following conditions:

  • With 30 days written notice for convenience (subject to minimum terms)
  • Immediately for material breach that remains uncured after 15 days notice
  • Immediately for non-payment after 60 days past due
  • Immediately for violation of confidentiality or security requirements
  • Upon insolvency, bankruptcy, or assignment for benefit of creditors

Upon termination, we will provide reasonable assistance in transitioning services and return client data in a standard format.

Governing Law and Disputes

  • These Terms are governed by the laws of India
  • Disputes shall be resolved through binding arbitration in Mumbai, India
  • Arbitration shall be conducted under the rules of the Indian Arbitration and Conciliation Act
  • Each party bears its own costs unless otherwise awarded by the arbitrator
  • Injunctive relief may be sought in courts of competent jurisdiction
  • Any legal action must be commenced within one year of the claim arising

General Provisions

  • These Terms may be updated periodically with reasonable notice
  • If any provision is deemed invalid, the remainder shall remain in effect
  • Failure to enforce any provision does not waive our right to do so later
  • These Terms constitute the entire agreement regarding their subject matter
  • Amendments must be in writing and signed by both parties
  • Neither party may assign these Terms without written consent
